Earnings, margins, COGS & capex
FY2025 revenue grew ~17% to $1.37B on AI-memory strength, but the mix is bifurcating: Integrated Memory is booming (+63% YoY in Q2 FY26 on AI demand and favorable pricing) while Advanced Computing fell -42% YoY in the quarter as the Penguin Edge business winds down and hyperscaler repeat orders lapse (full-year FY2025 Advanced Computing was still +17%). Q2 FY26 net sales of $343M were down 6% YoY and missed the ~$374M analyst consensus; GAAP EPS of $0.58 was flattered by a ~$27.0M one-time gain on the sale of the Celestial AI equity stake (and dinged by a $5.8M inventory write-off for in-transit theft). Management raised full-year FY26 guidance to +12% net sales growth, $2.15 non-GAAP / $1.30 GAAP EPS, explicitly excluding any hyperscaler AI hardware sales -- a conservative base that leans on memory plus non-hyperscale enterprise/sovereign/neocloud AI wins.

COGS structure
Dominated by DRAM/Flash memory component costs (Integrated Memory) and GPU/server/system BOM for Advanced Computing; margin sensitive to memory pricing (a tailwind in FY26) and product mix. Q2 FY26 GAAP GM absorbed a $5.8M write-off for inventory stolen in transit.
Capex
Not separately broken out in the quarter; asset-light integrator (no fab), so capex intensity is structurally low vs semiconductor peers -- growth is working-capital/inventory-driven, not fab-driven.
Latest earnings
Large double beat. Revenue of $478.7M came in ~18% above the ~$405.5M consensus, and non-GAAP EPS of $0.84 beat the ~$0.54 consensus by ~56%. Shares rose ~8.5% after hours on the print. The FY2026 growth guide was almost doubled, from ~+12% to +22% +/-2%.
FY2026 (ending 2026-08-28) raised: net sales growth +22% +/-2%; GAAP EPS $1.97 +/-$0.05; non-GAAP EPS $2.60 +/-$0.05; GAAP gross margin 26.5% +/-0.5% and non-GAAP 28.5% +/-0.5%. Management attributed the raise to 'very strong agentic AI-driven customer demand' — a notable reversal from the prior guide, which had explicitly excluded hyperscaler AI hardware sales.

Growth drivers
- Integrated Memory +63% YoY to $172M — AI-driven module demand plus favorable memory pricing (both volume and price contributing)
- Non-hyperscale AI/HPC — management-cited first-half advanced-computing growth ~50% YoY, now >40% of Advanced Computing sales; five new customer wins in Q2 across financial services, biomedical research, energy
- Inference/agentic-AI shift — 'memory-bound, latency-sensitive' workloads expand TAM beyond hyperscalers into enterprise, sovereign AI and neocloud
- AI-factory platform strategy — MemoryAI servers, OriginAI reference architectures; NVIDIA reference-design collaboration; Dell and Deepgram enterprise voice-AI deployments
- SK Telecom ($200M strategic investment, closed Dec 2024) + SK Telecom/SK hynix AI-data-center collaboration opening Korea/APAC and memory supply access

Bull & bear
The AI demand pull finally showed up in the P&L rather than the narrative: net sales +47.6% YoY, GAAP operating income up more than 5x, and a full-year growth guide nearly doubled from ~12% to 22% — all delivered by an asset-light integrator that spends under 1% of revenue on capex and has just refinanced its entire capital structure into a zero-coupon 2031 convert.
- The guide raise is the signal. Going from ~+12% to +22% +/-2% mid-year, after a prior guide that deliberately excluded hyperscaler AI hardware, means demand arrived that management had refused to underwrite. Revenue beat consensus by 18% and non-GAAP EPS by 56%.
- Integrated Memory more than doubled YoY to $275.1M. In a tight memory market, being a value-added module/integration supplier with allocation is a genuinely advantaged position, and it is the segment carrying the growth.
- Operating leverage is real, not accounting. Total operating expenses actually fell YoY ($82.4M vs $85.2M) while gross profit rose $38.1M — that is what turned $9.8M of operating income into $50.9M.
- Capital intensity is negligible. $7.3M of capex over nine months against $1.16B of sales means growth does not require a fab; incremental returns on capital are structurally high compared with the hardware names it sells into.
- The July refinancing removed the near-term overhang. $750M at a 0.00% coupon with maturity pushed to August 2031, the $100M revolver repaid, and the 2029 Notes — whose principal was cash-settleable on demand and had been forced into current debt — largely retired. Capped calls at a $175.05 cap price limit dilution on the new notes, and the $116.70 conversion price is 2.2x the current share price.
- Asset-light plus net-cash-ish balance sheet means the AI ramp can be funded without equity: pro-forma cash of ~$728M against ~$804.5M of zero-and-low-coupon principal is a very manageable structure at a ~$2.7B market cap.
The income statement is excellent and the cash flow statement is not: nine-month operating cash flow fell from $183.6M to $11.2M while receivables ballooned to $703M — 147% of a quarter's sales — so the growth is currently being financed by the balance sheet, and the market has taken roughly a third off the share price since mid-July despite the beat.
- Cash conversion has broken down. $11.2M of operating cash flow on $90.8M of nine-month net income, and ~$3.9M of free cash flow on $1.16B of revenue. Receivables at $703.0M (from $307.9M) imply DSO around 130+ days; inventories nearly doubled to $498.3M. Growth this cash-hungry is fragile if a large customer slips.
- Counterparty and concentration risk sits inside that receivable. A receivable balance larger than a full quarter of sales, in a business whose growth came from a small number of AI infrastructure and memory customers, is where a revenue quarter becomes a write-down quarter.
- The market is disagreeing with the print. The stock closed at $52.60 on 2026-08-03 versus the $77.80 close on 2026-07-14 at which the notes were priced — a 32.4% derating in three weeks, after an 18% revenue beat and a doubled growth guide. Something in the financing, the receivable build, or the memory-pricing durability is being discounted.
- The 'no dilution until $175' framing hides ~8.7M shares issued immediately. The 2029/2030 note retirements were exchanges settled in cash PLUS ~4.7M and ~4.0M shares respectively — roughly 17% of the 51.240M shares outstanding at quarter end, issued at prices around the July highs. The capped calls defer dilution on the NEW notes; they do nothing about the shares already handed over. Anyone valuing PENG off a provider market cap of ~$2.70B is using a share count that predates this.
- Memory is the earnings driver and memory is cyclical. Integrated Memory more than doubled partly on favorable component pricing; the same mix that produced the upside reverses hard when DRAM/flash pricing turns, and the FY26 gross-margin guide (28.5% non-GAAP) sits below the Q3 spot level, which is management conceding mix normalization.
- Advanced Computing is flat. $137.6M vs $132.5M YoY — the segment that is supposed to be the AI infrastructure franchise grew ~4% while memory did the work. The 'AI infrastructure' framing is carried by a component business.
- The refinancing added leverage as well as shares. Pro-forma debt principal of ~$804.5M against ~$728M of cash converts a net-debt-neutral balance sheet into modest net debt, the $49.1M spent on capped calls is real cash paid to postpone dilution above $175.05, and a further 9,640,050 shares are issuable on conversion of the new notes at the initial maximum rate.
- Preferred stock sits ahead of common. $200.5M redemption-value convertible preferred consumes $3.0M of dividends a quarter and $4.4M of Q3 income was allocated to participating securities — GAAP diluted EPS of $0.68 is what is left after that waterfall.
What it is worth
Market-based cross-check (mkt cap ~$3.12B, near net-cash so EV ~ mkt cap) against TTM sales ~$1.35B, FY2026E ~$1.53B sales and ~$2.15 non-GAAP EPS; peer multiples vs SMCI/DELL/HPE (systems) and MU/NLST (memory)
Memory pricing rolls over and Advanced Computing keeps shrinking; blended margins stay ~28%; earnings quality questioned ex one-offs; multiple compresses toward hardware-integrator norms (~1x sales / mid-teens P/E), meaningful downside from current levels
FY26 lands near guide (+12% sales, ~$2.15 non-GAAP EPS); memory tailwind normalizes as Advanced Computing stabilizes; stock roughly range-bound with the AI-infrastructure group, ~28-32x forward EPS
Sustained AI memory demand + enterprise/sovereign/neocloud diversification drives >12% growth and margin mix-up; re-rate toward higher-teens EV/EBITDA on beat-and-raise; hyperscaler AI hardware returns as upside not in guide
At ~$61-64, PENG trades ~28-30x FY26E non-GAAP EPS and ~2.3x EV/sales -- a growth multiple that prices in sustained AI-memory strength and successful enterprise diversification. GAAP P/E (~88x TTM) is distorted by one-time items and understates run-rate earnings. Bulls anchor on memory-segment momentum + conservative guide; bears on integrator-level margins, the shrinking core-computing segment, the Q2 revenue miss, and cycle risk. Verdict hinges on whether Integrated Memory strength is structural (AI-driven) or a pricing-cycle spike.
SWOT
Strengths
- Portfolio of established brands with real IP — Penguin Computing (HPC/AI clusters), Stratus (fault-tolerant computing), SMART Modular (specialty memory), Cree LED
- Integrated Memory franchise levered to the AI memory upcycle -- +63% YoY with both price and volume tailwinds
- Strong balance sheet: net-cash position, ~$489M cash, no debt maturities until 2029, converts already retired
- Strategic validation from SK Telecom's $200M investment and the SK Telecom/SK hynix AI-data-center collaboration (memory supply + APAC channel)
- NVIDIA reference-design partner and full-stack integrator positioning for AI factories
Weaknesses
- Advanced Computing shrinking (-42% YoY in Q2) on Penguin Edge wind-down and lumpy, non-repeating hyperscaler orders
- Historically lumpy, project-based revenue with visible customer concentration in advanced computing
- Blended non-GAAP gross margin only ~28% -- integrator economics, thinner than component/IP peers
- Q2 GAAP earnings quality flattered by a one-time ~$27.0M Celestial AI gain; underlying GAAP profitability modest (TTM GAAP EPS ~$0.70)
- Optimized LED is a low-growth, non-core legacy segment (-7% YoY) diluting the AI narrative
Opportunities
- Inference/agentic-AI shift favors memory-bound, latency-sensitive systems -- expands addressable market beyond hyperscalers
- Sovereign AI, neocloud and enterprise AI-factory buildouts as a diversified, more recurring demand base
- APAC/Korea expansion via SK Telecom/SK hynix; deeper memory co-development with SK hynix
- Software/services attach (cluster management, managed services, Stratus reliability) to lift margin and recurring mix
- Any resumption of hyperscaler AI hardware orders would be upside vs a guide that assumes none
Threats
- Memory pricing is cyclical -- the FY26 tailwind can reverse and compress the largest, fastest-growing segment
- Intense competition from far larger integrators (Dell, HPE, Supermicro) and memory giants (Micron, SK hynix, Samsung)
- Dependence on NVIDIA GPU allocation and roadmap; supply and lead-time risk
- Customer/project concentration and order lumpiness can whipsaw quarters
- Rich forward multiple leaves little room for AI-demand disappointment or a memory-cycle rollover
Moats, dependencies & bottlenecks
Moats
Specialty/embedded memory expertise (SMART Modular) for harsh/military/aerospace/industrial environments Ruggedized, long-lifecycle, qualification-heavy niches are stickier and higher-margin than commodity DRAM
Fault-tolerant computing IP (Stratus) with entrenched mission-critical installed base High switching costs in industrial/finance/edge always-on workloads; slow-growth but durable
cluster management, NVIDIA reference designs) Design-win and service relationships, but faces scale integrators; less defensible than IP
SK hynix memory + AI-DC collaboration) Preferential memory access + APAC channel; contractual, not structural -- valuable while it lasts
Dependencies
GPU supply + reference-architecture partner AI systems depend on NVIDIA allocation, roadmap and reference designs; competes with every other integrator for supply
Largest segment's growth is partly price-driven; a downcycle compresses both revenue and margin
Investor + memory supply + channel partner $200M investment and AI-DC collaboration provide supply/channel leverage; concentration if it underdelivers
Diversification target replacing hyperscaler orders; still cyclical AI-capex exposure
Customer concentration Advanced Computing is lumpy and project-based; loss/timing of a large order swings quarters
Advantages
- Multi-brand portfolio spanning AI systems, specialty memory, fault-tolerant computing and LED -- diversified revenue and cross-sell
- Direct leverage to the AI memory shortage via SMART Modular
- Net-cash balance sheet with no near-term maturities -- can fund growth without forced dilution
- Strategic capital and supply relationships (SK Telecom/SK hynix) plus NVIDIA/Dell partnerships
- Conservative FY26 guide (excludes hyperscaler AI hardware) creates credible beat-and-raise setup on the bottom line
Weaknesses
- Core Advanced Computing segment contracting sharply in Q2 (-42% YoY)
- Low, integrator-level blended gross margin (~28% non-GAAP)
- Earnings quality reliant on one-time gains and a cyclical memory-price spike
- Order lumpiness and customer concentration -> low revenue visibility (Q2 revenue missed consensus)
- Legacy Optimized LED segment is a low-growth drag on the AI narrative
Bottlenecks
- Memory component supply and pricing — both a tailwind now and a hard constraint if allocation tightens or prices roll over
- NVIDIA GPU allocation and lead times gating AI-systems shipments
- Working-capital/inventory intensity to support AI hardware growth (inventory risk illustrated by the $5.8M in-transit theft write-off)
- Thin blended gross margin limits reinvestment flexibility versus scaled rivals
- Reliance on landing repeatable enterprise wins to offset the shrinking hyperscaler/Penguin Edge base
Top signals & trends
Top signals
Conservative base plus raise implies genuine momentum outside hyperscalers
But partly price-driven -- watch for memory-cycle reversal
Core AI-systems segment shrinking in the quarter (full-year FY2025 was still +17%)
Beat came on EPS/guidance, not the top line
One-offs distort GAAP earnings quality both ways
External validation, memory supply and APAC channel
De-risked balance sheet supports growth funding
Near-term catalyst; consensus implies a large sequential step-up, pre-earnings volatility elevated
Trends
Expands TAM into enterprise/sovereign/neocloud and plays to memory + systems strengths
Positive (cyclical) · Drives Integrated Memory now; reverses in a downcycle
Diversifies away from hyperscaler dependence
Reduces repeat orders for third-party integrators like Penguin
Scale players (Supermicro, Dell, HPE) compress integrator economics
