Welcome to QAI (“QAI”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of the QAI platform and services (“Service”). We built QAI with a deep respect for your privacy and the security of your data, and these Terms reflect that commitment. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Use of the Service

License to Use: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or internal business purposes, in accordance with the plan you have subscribed to.

Prohibited Activities: You agree not to misuse the Service or help anyone else do so.

2. Your Content

Ownership: You retain ownership of any intellectual property rights that you hold in the content you upload to the QAI platform.

License to QAI: By uploading content, you give us a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, and distribute such content solely for the purpose of providing and improving the Service.

3. Our Rights

Service Changes and Availability: We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Intellectual Property: All rights, title, and interest in and to the Service (excluding content provided by users) are and will remain the exclusive property of QAI and its licensors.

4. Disclaimers and Limitations of Liability

As Is: The Service is provided “as is” and we make no warranties of any kind, express or implied, as to the Service's operation or the information, content, materials, or products included.

Limited Liability: In no event will QAI be liable for any damages arising from your use of the Service or for any information, content, materials, or products included on or otherwise made available to you through the Service.

5. Subscriptions and Billing

Plans and Pricing: QAI offers various subscription plans, including free and paid tiers. The features, usage limits, and pricing for each plan are described on our pricing page and may be updated from time to time.

Billing and Renewal: Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. No prorated refunds are issued for partial billing periods.

Price Changes: We reserve the right to change our pricing at any time. If we change the pricing for your current plan, we will provide at least 30 days' notice before the new pricing takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Payment Processing: All payments are processed securely by Stripe. By providing your payment information, you authorize us to charge the applicable fees to your chosen payment method. You are responsible for keeping your payment information up to date.

6. Indemnification

You agree to indemnify and hold harmless QAI and its officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service, or your violation of these Terms.

7. Termination

We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately. If you have a paid subscription, no refund will be issued for any remaining portion of the billing period.

8. Safe Use of AI

Responsible AI: You agree to use our AI features responsibly and ethically. This includes not using the service to create, share, or promote content that is illegal, harmful, deceptive, infringing on others' rights, or otherwise objectionable.

Accuracy and Reliability: While we strive to provide accurate and reliable AI-generated insights and content, we do not guarantee the correctness or applicability of AI outputs. You acknowledge that AI-generated content may be imperfect and agree to verify such content before reliance or use in critical decisions.

Intellectual Property: You understand that content generated by our AI capabilities may be unique and subject to copyright laws. You agree not to claim ownership over AI-generated content that infringes upon the intellectual property rights of others.

AI Misuse: Misuse of our AI capabilities, including but not limited to the generation of prohibited content or attempting to reverse-engineer the AI, may result in immediate termination of your account and legal action.

9. Content Standards

Prohibited Uses: You may not use the Service to generate content that:

• Violates any law or regulation.
• Is fraudulent, false, or misleading.
• Incites hatred, discrimination, or violence.
• Violates privacy or intellectual property rights.

Monitoring and Enforcement: We reserve the right, but not the obligation, to monitor content generated through our Service to ensure compliance with these Terms and applicable laws. We may remove or disable access to any content that, in our sole discretion, violates these Terms.

10. Dispute Resolution

Informal Resolution: Before filing any formal legal claim, you agree to first contact us at support@qai.io and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If the dispute cannot be resolved informally, you and QAI agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except that either party may bring claims in small claims court if eligible. Arbitration will be conducted under the rules of the American Arbitration Association (AAA).

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

11. General

Governing Law: These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms on the Service. For material changes, we will provide at least 30 days' notice before the updated Terms take effect.
